Artikel: All airlines are equal, but some are more equal than others. How KLM avoided prosecution for 20 years and millions in fines with the blessing of the Dutch authorities

For 22 years, an MoU between KLM and the Dutch State shielded KLM from criminal prosecution for transporting passengers without proper travel documentation. Meanwhile, other airlines were held criminally liable numerous times. This inequality caused the Amsterdam Court of Appeal to declare prosecutions of other airlines inadmissible in both 2008 and 2021, as the Dutch State had demonstrated an insufficient effort to conclude an MoU with them as well. Recently disclosed documents shed more light on the full scope of the unequal treatment of other airlines, raising questions on the possibility of reviewing their previous convictions as well as whether the MoU with KLM could be characterized as a form of unlawful state aid.

Artikel: The Creation of an Autonomous Environmental Crime through the New EU Environmental Crime Directive

On 11 April 2024, the EU adopted a new environmental crime directive to replace Directive 2008/99 of 19 November 2008. This article discusses why a new Directive in the area of environmental crime had become necessary. It particularly argues that the introduction of an autonomous environmental crime and a qualified offence of ecocide constitute important changes. The article points out other novelties, e.g. with regard to minimum sanctions and the collection of statistical data. They may substantially improve the enforcement of European environmental law through criminal law.

As corporate governance is becoming increasingly moralized, corporations can easily get conflicted in their decision-making process. Doing what is (seen as) right, is no longer clear, if it ever fully was. Public and private calls to action recently are more frequent, vocal and are often directly aimed at the corporation itself, its board and its strategy development and execution. Most of these calls are well-intentioned. However, they impose new requirements that are altogether rather difficult to integrate within current business affairs. Even in cases in which these requirements are suitable for instant implementation, they do inflict additional agency costs.

Wijzigingen in de nieuwe wet bescherming klokkenluiders: wat verandert er nog meer voor werkgevers?

De nieuwe klokkenluiderswet is intussen alweer enige tijd in werking. Met deze wet is de Wet Huis voor klokkenluiders gewijzigd, die gold sinds 1 juli 2016. De Wbk noopt werkgevers tot aanpassing van hun klokkenluidersregelingen en tot het maken van strategische keuzes bij het publiceren van de eigen klokkenluidersregeling. Ook dwingt de nieuwe wet tot het maken van keuzen bij het sluiten of wijzigen van onder meer arbeids- consultancy-, management-, aansluitings- en vaststellingsovereenkomsten. Binnenkort komen daar nadere wijzigingen bij, op grond waarvan de klokkenluidersregelingen nogmaals dienen te worden aangepast en het mogelijk wordt gemaakt anoniem meldingen te doen. De naleving daarvan wordt mogelijk in de nabije toekomst verstrekt door het Huis voor Klokkenluiders sanctiebevoegdheden toe te kennen die het kan uitoefenen tegen werkgevers. Ik licht hieronder de voornaamste wijzigingen voor werkgevers toe en geef handvatten hoe de organisatie de risico's in verband met (klokkenluiders)klachten zoveel mogelijk kan beperken.

This is the fourth issue of the Compliance, Ethics & Sustainability journal of 2024 with a focus on Corporate governance and Stakeholder Management. This edition aims to provide new insights and perspectives on these matters. 

The new Dutch Whistleblower Act has been in force for some time. This Act requires employers to adapt their whistleblowing policies and to make strategic choices when publishing their own whistleblowing policies. The new law also requires choices to be made when concluding or modifying, inter alia, employment, consultancy, management and settlement agreements. Further changes are to be made shortly, which will require changes to the whistleblowing rules and will make it possible to report anonymously. (article in Dutch) Danny Theunis explains the main changes for employers and gives guidance on how the organization can minimize the risks related to (whistleblowing) complaints.
