The Effects of Sustainability Policies on Investor Protection in the EU, UK, and US

In the last few years various ESG regulations have been implemented in the EU, US, and UK to improve investor protection. These regulations vary somewhat, but one commonality is that they all build on the existing investor protection frameworks. This article finds that while imposing additional obligations on advisers and providing some opportunities for investors, not all measures will prove effective. Instead, they tend to reflect the benefits as well as the drawbacks of the existing investor protection frameworks rather than addressing them.

De richtlijn bevat verplichtingen voor grote ondernemingen met betrekking tot de negatieve effecten van hun activiteiten op de mensenrechten en de milieubescherming. De regels hebben niet alleen betrekking op de activiteiten van de bedrijven zelf, maar ook op die van dochterondernemingen en zakenpartners.

Grote ondernemingen moeten uitgebreider rapporteren over duurzaamheid

Ondernemingen moeten straks uitgebreider rapporteren in het jaarlijkse bestuursverslag over hun inzet om duurzaamheid te bevorderen. Enkel grote ondernemingen zoals beurs- en andere vennootschappen, grote banken en verzekeraars zullen aan de rapportageverplichting moeten voldoen. Accountants zullen de duurzaamheidsrapporteringen beoordelen en moeten daarvoor aan extra eisen voldoen. Dat staat in een algemene maatregel van bestuur van minister Weerwind voor Rechtsbescherming en een wetsvoorstel van minister Van Weyenberg van Financiën waarmee de minsterraad heeft ingestemd. Met de regelgeving wordt een Europese richtlijn uitgevoerd die de bestaande verplichtingen uitbreidt.

Europese toezichthouders publiceren greenwashing-rapporten

De gezamenlijke Europese toezichthouders (ESA’s) hebben op 4 juni drie rapporten over greenwashing gepubliceerd. Het ESMA Final Report on Greenwashing, de EBA Final Report on Greenwashing en het EIOPA Final Report on Greenwashing. Uit de rapporten blijkt dat toezichthouders concrete stappen ondernemen op het gebied van toezicht op duurzaamheidsuitingen. Daarnaast bieden de ESA’s een vooruitblik hoe toezicht op duurzaamheid geleidelijk kan worden verbeterd in de komende jaren.
